Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Matproof compliance automation platform and related services (the "Service") provided by Matproof GmbH ("Matproof", "we", "our", or "us"). By accessing or using our Service, you agree to be bound by these Terms.

Description of Service

Matproof provides a compliance automation platform that helps organizations manage their compliance programs, including but not limited to: automated evidence collection, policy management, risk assessment, vendor risk management, and compliance monitoring for frameworks such as DORA, SOC 2, ISO 27001, GDPR, and others.

Account Registration

To use our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Subscription and Payment

Access to the Service is provided on a subscription basis. Subscription fees are based on your selected plan and are billed in advance on a monthly or annual basis. By subscribing to a plan, you agree to:

• Pay all fees associated with your selected plan
• Provide valid payment information
• Authorize us to charge your payment method on each billing cycle

Your Data

You retain all rights to the data you upload to the Service ("Customer Data"). You grant us a limited license to use, process, and store your Customer Data solely to provide the Service. We will not access, use, or share your Customer Data except as necessary to provide the Service or as required by law. Your Customer Data is stored in EU data centers and protected according to our Privacy Policy and applicable data protection laws.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is unlawful, harmful, or infringes intellectual property rights
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Matproof and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

Limitation of Liability

To the maximum extent permitted by law, Matproof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may request export of your Customer Data for 30 days following termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
